What is California's $800 franchise tax?

Every LLC registered in California must pay an $800 minimum franchise tax to the Franchise Tax Board each year, even if the LLC earns no income. This tax is due by the 15th day of the 4th month after your LLC is formed, and then annually on April 15. First-year LLCs may be exempt for tax years 2021-2023 under AB 85, but this exemption has since expired for new filings.

What is the Statement of Information and when is it due?

California requires every LLC to file a Statement of Information (Form LLC-12) with the Secretary of State within 90 days of formation, and then every two years thereafter. The filing fee is $20. This form lists your LLC's agent for service of process, managers or members, and principal business address.

How long does it take to form an LLC in California?

Standard processing with the California Secretary of State takes approximately 5-7 business days for online filings. Expedited processing is not currently offered by the state. Third-party services can prepare your documents for faster submission.

Does California require an Operating Agreement?
